Marketing general agent agreement

Commission side：Beijing Yangdu Energy Conservation Lamps Ltd. (A for short)
Agent：_____________________________________________（B for short）

The agreement is as follows：

1.B sets up marketing general agent in following_________ areas which are in charge of selling and wholesaling the products for A.

2.The products that B sells must be produced by A and have the brand "Yangdu"
3.B must publish necessary advertisement for A in order to promote marketing of the products .in the agent area.

4.B can't produce A's products or the similar products without A's permission. B can't be agent for the same or similar products.

5.A provides price list, technology and advertisement material etc. to B.
6.Order：

B should inform A a month in advance if B provides one-year goods purchasing forecast and forecast adjustment.

B must provide the detailed list of the order to A two weeks in advance if B wants to order.

A can refuse to accept if B wants to return the goods without quality problem or proper excuse.

7. Quality Guarantee：

A's product quality accord with B's sealed sample quality.

A's product quality guarantee period_____ year. A should maintain and exchange during the guarantee period.

8. Settlement of payment for goods：

A：B should prepay 60% of the payment for goods for the first ordering. B should payoff previous 40% of the payment for goods and 60% of current payment for goods for the second batch of goods and so on.. A is entitled to take back arrearage from B if B doesn't stock from A for 3 months running.
B：B must pay cash if picking up the goods. B can return the goods if B doesn't finish marketing within_____ months. But the goods must be without damage. A returns the payment to B. B paid the freightage of the returning goods.

Settlement of payment for goods can be cash or bank transfer.

9.A can suspend shipment if B doesn't carry out payment or B breaks the contract.
10.B can't disclose the business secret with A to others.

11.The alteration and ending of the agreement.

Both sides should balance the payment for goods, return the deposit and document when the agreement terminates.

Both sides should consult with each other if there's dispute about the agreement. It should carry out according to Economy Contract Law if the consult fails.

The agreement's period of validity: month/day/year to month/day/year.
